ENDRA Life Sciences announces a market-directed private placement of up to $14.4 million to launch a digital asset treasury strategy managed by Arca

(NASDAQ: NDRA, hereinafter referred to as "ENDRA" or "the Company"), a pioneer in imaging technology focused on the early detection and monitoring of metabolic dysfunction-associated liver disease (MASLD) and metabolic dysfunction-associated steatohepatitis (MASH), announced today that it has received private placement subscription commitments totaling $4.9 million (hereinafter referred to as "this offering") from leading institutional investors and cryptocurrency investors. The funds raised will be used to launch a Digital Asset Treasury ("DAT") strategy, which will be led by Arca Investment Management, LLC ("Arca"), focusing on allocating assets in the decentralized finance (DeFi) sector in which it has the highest conviction. The initial investments will be in tokens of leading decentralized exchanges and protocols, with a particular focus on perpetual contract assets such as HYPE. According to the securities purchase agreement, investors have agreed to purchase 744,340 shares of common stock (or corresponding pre-funded warrants) and warrants to purchase up to 1,488,680 shares of common stock. The warrants are exercisable immediately at an exercise price of $6.32 per share and are valid for five years. The combined offering price per share of common stock (or pre-funded warrant) and accompanying warrant is $6.57. The exercise price of the pre-funded warrants is $0.0001 per share, and they are exercisable immediately and remain valid until exercised.
