This transaction will significantly expand QXO's business scale and overall strength across the entire building materials industry chain. Upon completion of the acquisition, the company's profitability will be immediately and noticeably enhanced. TopBuild is the largest distributor and construction service provider of insulation materials and related building materials in North America. This merger will integrate the strengths of both parties: QXO’s leading position in roofing materials, waterproofing materials, wood building materials, and supporting products, combined with TopBuild’s core competence in the insulation materials sector, will create a higher-margin business system and offer more comprehensive value-added services to clients. The transaction has been unanimously approved by the boards of directors of both companies and still requires the fulfillment of customary closing conditions, including shareholder approval from both companies. The acquisition is expected to be completed in the third quarter of 2026.
