Custom Structured Solutions Terms and Conditions

GENERAL RISK WARNING
Neither Bitget, nor any of our Affiliates or representatives, make any representation or warranty that the Custom Structured Solutions (“CSS”) is a product suitable or appropriate, for any user or in any location, nor that the transactions and services described in these Custom Structured Solutions Terms (“CSS Terms”) are (or will continue to be) available or appropriate for any user or in any location. You are strongly encouraged to carefully review these CSS Terms and seek independent professional advice as to whether CSS is appropriate for you having regard to your personal circumstances and objectives, financial position and risk tolerance level.
By subscribing CSS, you acknowledge and agree that (a) you have read and understood these CSS Terms and (b) you will be bound by and will comply with these CSS Terms, as updated and amended from time to time,. If you do not understand and accept these CSS Terms in their entirety, you should immediately cease to and should not subscribe to CSS and related services.
These CSS Terms are supplemental to and shall be read together with the Bitget Terms of Use (“Terms of Use”) and the terms of the Futures Services Agreement, which shall continue to apply. All terms and clauses contained in the Terms of Use and the Futures Services Agreement (except to the extent expressly modified herein) are incorporated by reference and have the same force and effect as if set out in their entirety in these CSS Terms. These CSS Terms constitute Product Terms. References in the Terms of Use to the Services shall include references to these Terms contemplated hereunder.
In the event of any conflict or inconsistency between these CSS Terms, the Terms of Use and the Futures Services Agreement, these Terms shall prevail with respect to the Services contemplated hereunder, unless expressly stated otherwise. We may make changes to these CSS Terms (or any terms or information incorporated by reference) at any time in accordance with the Terms of Use.
KEY RISKS FOR CUSTOM STRUCTURED SOLUTIONS
You acknowledge, understand, and accept all the risks arising out of or in connection with your subscription of the CSS and/or these CSS Terms, including the General Risk Warning in these CSS Terms, those set out in the Risk Disclosure and this clause. You confirm that you have carefully assessed and determined that, Custom Structured Solutions is appropriate for you.
Suitability assessment
As accumulators and decumulators involve your writing of a series of options or entering into a series of forward contracts, they are derivative products and complex products associated with significant investment risks. There is no guarantee of return or profit and they may result in losses greater than other investment products that are less complex. You should adopt a cautious approach when subscribing to CSS. You should assure that you have the risk appetite for acquiring the underlying assets with leverage (where applicable), fully understand the nature and risks of the products, and have sufficient net worth to be able to assume the risks and bear the potential losses of trading in the products. You should ensure that a transaction of accumulators or decumulators is suitable for you in all the circumstances, irrespective of whether there is solicitation or recommendation.
You should take reasonable steps to establish your financial situation, investment experience and investment objectives, and assess your knowledge of derivatives. Structured products are not suitable for all investors. As a general principle, you should subscribe to accumulators and/or decumulators only if you have prior experience in investing in structured investment products or writing options. You will release, discharge and agree to indemnify the us, our Affiliates and our respective directors, shareholders, employees, contractors/sub-contractors, agents, representatives, service providers from and against all losses, liabilities, actions, proceedings, accounts, claims and demand arising from or in connection with these CSS Terms.
Product risk rating
Given that accumulators and decumulators are associated with significant investment risks, you should understand that this is a high risk product. You should develop thorough understanding of accumulators and decumulators during product due diligence and acquire adequate training to ensure that you are fully aware of and accept the characteristics, nature and extent of risks of the products.
Concentration risk
When considering the suitability of a transaction, you should ensure that the potential financial impact on you, particularly in adverse market conditions, is fully taken into account, in addition to your own credit risks and commercial interests. You should take into account your total maximum exposure, i.e. using the full notional amount, for assessment of your exposure to accumulators and decumulators. You understand that we do not provide any investment advice and do not make any solicitation or recommendation of accumulator or decumulator contracts to you or any other users (taking into account your total maximum exposure as well as your ability to withstand losses and fulfil potential margin obligations under adverse market conditions) or in the specific underlying asset, e.g. a particular digital asset.
Transactions with mismatches or exceptions
Given the nature and structure of accumulators and decumulators, there will be very little room to justify risk mismatch transactions. If there is any risk mismatch transaction at all, you represent and warrant that you have high risk tolerance and your maximum exposure to accumulators and decumulators represent only an insignificant portion of your portfolios with us. You undertake to provide us, upon our request, with all necessary documents and assistance to prove the aforementioned.
Provision of alternatives and rationale for investing in accumulators
Digital assets are subject to high market risk and volatility. In particular, in view of the complex structure and significant risks of accumulators and decumulators, you acknowledge and agree that we provide you with reasonable alternative investment products with lower risks and/or less complex structure for addressing your investment needs.
1. Definitions
Unless otherwise defined, capitalised words used in these CSS Terms shall have the same meaning given to them in the Terms of Use and Futures Services Agreement. The rules of interpretation set out in the Terms of Use shall apply to these Terms.
Accumulators Knock-out Event has the meaning given to it in clause 3.3.
Bitget Accumulators means a contract requires you to buy the Subscription Amount of the underlying assets at the Strike Discount Rate in accordance with the Purchase Frequency within the Product Tenor.
Bitget Decumulators means a contract requires you to sell the Sell Quantity of the underlying assets at the Strike Premium Rate in accordance with the Sell Frequency within the Product Tenor.
Decumulators Knock-out Event has the meaning given to it in clause 3.6
Exchange means the exchange that is operated by Bitget.
Funding Day means the funding day and time stated on the Order/Request Form.
Investment Token means the investment token as stated on the Order/Request Form which maybe subject to change by us from time to time.
Knock-Out Price means the pre-determined price level in the Bitget Accumulators or Bitget Decumulators that, if reached, will cause the contract to be automatically terminated. Such Knock Out Price will be confirmed in a confirmation email which you will receive from us.
Market Price means the average spot index price on the Exchange on the Observation Days at the time period as determined by us.
Minimum Investment Amount means the minimum amount of Investment Token which you must buy or sell as stated on the Order/Request Form and approved by us.
Observation Day means the same day of each week starting from the Funding Day within the Product Tenor.
Order/Request Form means the request form (in electronic forms or otherwise as approved by us) that you submit to us and we accept for the subscription to a Product by you.
Product Tenor means the period of time you must buy or sell the underlying assets as stated on the Order/Request Form and as approved by us.
Purchase Frequency means the purchase frequency stated on the Order/Request Form as determined and approved by us from time to time.
Purchase Token means the purchase token which we support and as stated on the Order/Request Form, which maybe subject to change by us from time to time
Spot Account means the account that you use for spot transactions which is established by Bitget and/or its Affiliates in your name on the Exchange.
Sell Frequency means the sell frequency stated on the Order/Request Form as determined and approved by us.
Settlement Day means the day following Observation Day.
Settlement Token means the settlement token as stated on the Order/Request Form, which maybe subject to change by us from time to time.
Subscription Amount means the fixed number of Investment Token which you request to subscribe as stated in the Order/Request Form and we approved in writing.
Strike Discount Rate means the pre-determined price at which both you and us agree to buy the Purchase Token and as confirmed in a confirmation email which you will receive from us.
Strike Premium Rate means the pre-determined price at which both you and us agree to sell the Investment Token and as confirmed in a confirmation email which you will receive from us.
UTC means Coordinated Universal Time.
2. Eligibility
2.1 The Products are only available to certain users in certain countries/jurisdictions. The Products are not intended for users and/or countries/jurisdictions to which restrictions/prohibitions apply.
2.2 We reserve the right to adjust the eligibility requirements of the Products from time-to-time. Without prejudice to our rights under these Product Terms, the Terms of Use and the Futures Services Agreement, if you cease to be eligible, we may exercise our right to refuse, suspend and/or terminate your subscription pursuant to clause 4.4.
3. Custom Structured Solutions
3.1 The Custom Structured Solutions consist of 2 products, the Bitget Accumulators and the Bitget Decumulators (each, a “Product”).
Bitget Accumulators
3.2 Once you successfully subscribed to the Bitget Accumulators, you are obliged to buy the Subscription Amount of Purchase Asset with the Investment Token at the Strike Discount Rate within the Product Tenor, unless the Accumulators Knock-out Event occurs pursuant to clause 3.3.
3.3 An Accumulators Knock-out Event occurs if on any Observation Days, the Market Price of the Purchase Token exceeds the Knock-Out Price (“Accumulators Knock-out Event”). In the event of an Accumulators Knock-out Event, the Product will be terminated immediately and we will return to you all remaining tokens/funds within 3 business days.
3.4 All the Purchase Assets purchased and the remaining Investment Tokens in relation to a subscription will be credited to your Spot Account on the Settlement Day at a time determined by us.
Bitget Decumulators
3.5 Once you successfully subscribed to the Bitget Decumulators, you are obliged to sell the Sell Quantity of Investment Token at the Strike Premium Rate in accordance with the Sell Frequency within the Product Tenor, unless the Decumulators Knock-out Event occurs pursuant to clause 3.6.
3.6 A Decumulators Knock-out Event occurs if on any Observation Days, the Market Price of the Investment falls below the Knock-Out Price (“Decumulators Knock-out Event”). In the event of a Decumulators Knock-out Event, the Product will be terminated immediately and we will cease selling the remaining amount of Investment Tokens. We will return to you all remaining tokens/funds within 3 business days.
3.7 All the Settlement Tokens received from the sale of Investment Tokens and the remaining Investment Tokens in relation to a subscription will be credited to your Spot account on the Settlement Day at a time as determined by us.
4. Subscription – ensure sufficient fundings in your Spot Account
4.1 You may from time to time submit an application(s) to subscribe to the Products by completing the Order/Request Form on the Platform or otherwise made available to you by us.
4.2 We may (but not obliged to) review, accept or reject any application(s) you submitted. If we approve and decide to accept your application, we will provide you with an order number for you to complete your subscriptions.
4.3 You must complete any and all of your subscriptions with the order number which we provided within the time period determined by us. By completing your subscription(s), you understand and agree that:
(a) a subscription once submitted is irrevocable; and
(b) you have complied and will comply with the provision of these CSS Terms, the Terms of Use, and any other terms and conditions as agreed by both you and us:
(c) it is your sole responsibility to ensure that you have sufficient funds in your Spot Account to complete your subscriptions.
4.4 You understand and agree that each subscription of the Products is subject to a Minimum Investment Amount.
4.5 You understand and agree that:
(a) you are not allowed to early redemption or early terminate your subscription to the Products; and
(b) in the exceptional event where we consent to your request for early redemption or early termination, we will charge you and you will pay us an exit fee as determined by us in our sole and absolution discretions subject to the then-current market condition and prices. You also understand and acknowledge that you may suffer substantial losses.
4.6 Bitget reserves the right to refuse, suspend or cease accepting any subscription to the CSS (in part or in whole), at any time and for any reason, without liability to you, if we determine in or sole discretion, it is necessary or desirable to protect the integrity, security, or reputation of the Platform or related services, to comply with Applicable Laws or any other reasons as we think fit.
5. Disclaimer of Warranties and Limitation of Liability
5.1 All disclaimers and limitations of liability in the our Terms of Use apply to the Custom Structured Solutions.
5.2 In addition, we expressly disclaim any and all liability for any loss, cost or damage arises directly or indirectly in connection or in conjunction with the CSS and these CSS Terms whether suffered by you or anyone else, including without limitation any liability that may be incurred due to potential losses in the values of any digital assets and/or tokens which you purchased or sold. Without prejudice to any other provision in these CSS Terms and our Terms of Use, you hereby acknowledge and agree that in no event will Bitget or any of our Affiliate be responsible or liable to you or any other person or entity for:
(a) any risk whether or not identified at the beginning of these CSS Terms;
(b) any action or inaction in accordance with these CSS Terms;
(c) the addition to or removal of a digital asset and/or token from CSS;
(d) any faults, unavailability or failure not caused by us, or which is caused or contributed to by (i) an act or omission of you, your personnel, our service provider or any third party, or (ii) your platform or a third party platform, equipment or software;
(e) our decision to restrict, suspend or terminate your access and/or use of CSS; or
(f) any limits or restrictions that we may apply to your access and/or use of CSS, from time to time.
5.3 By accepting these CSS Terms, you hereby unconditionally and irrevocably:
(a) confirm that you understand, accept and assume full responsibility for subscribing to or otherwise participating in one or more Products together with any and all associated risks with such transactions, including without limitation the risks described in these CSS Terms;
(b) confirm and agree that you bear full responsibility for ensuring that CSS and/or the Products are suitable for you, taking into account your own financial objectives and circumstances, and you shall be solely responsible for any profit or loss sustained in connection with your subscription of CSS, the Products, and any investment in Digital Assets, and you further confirm that you have carefully assessed whether, and determined that, each Product is appropriate for you;
(c) acknowledge and agree that you are not relying on Bitget, our affiliates or each of our representatives in any way to protect your interest in relation to pricing nor any other aspects of execution of any transactions pursuant to, or otherwise in connection with, the Custom Structured Solutions and Products.
